Outfy Affiliate Program Terms
This agreement describes the terms and conditions for participation in the Outfy affiliate program. In this agreement, the term "Affiliate" refers to you (the applicant). In this agreement, “Outfy” refers to Outfy, Inc., a Delaware Corporation, with whom you are entering this agreement. By applying to the Outfy affiliate program you are confirming that you have read the agreement and agree to the terms and conditions.
We reserve the right to approve or reject ANY Affiliate Program Application in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Application.
For a sale to generate a commission to an Affiliate, the Outfy customer must make a complete payment for a monthly or yearly subscription. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Affiliate links. Properly coded links are the sole responsibility of the affiliate. Commissions can be viewed on the Affiliate Dashboard.
When the user becomes a paying customer and retains their plan for 2 months, the Affiliate will earn a one-time commission of 2X payment.
The Company reserves the right to withhold any payouts of commissions for sales that are potentially fraudulent as determined by the Company in its sole discretion.
The Company reserves the right to suspend payment of Commissions at any time and indefinitely, if it suspects fraud or other improper activity or a potential breach of any of the terms in this Agreement by the Affiliate or a Referred Customer(s). The Company reserves the right to deduct from Affiliate’s current and future Commission Fees any and all Commission Fees corresponding to any fraudulent, questionable, and cancelled purchases. Where no subsequent Commission Fee is due and owing, the Company will send the Affiliate a bill for the balance of such refunded purchase upon termination of the program or termination of the Referred Customer.
The tracking of the affiliate sales is automatically performed by the use of cookies. The cookies are placed in the browser of the person that has clicked on the affiliate link and has thus reached the Company website. The cookie is stored for 30 days. If there is a previous affiliate cookie in the same browser it is overwritten by the newer one. The Company bears no responsibility if the customer has deleted their browser cookies on purpose.
Commissions will be paid once a month. For an Affiliate to receive a commission, the referred account must remain active for a minimum of 60 days and has paid for initial 2 months. Payments will only be sent for transactions that have been successfully completed.
Payment processing can take up to 10-15 days. Payments will generally be paid out via PayPal.
In the event a customer requests a refund for a transaction for which the Affiliate has earned commissions, any commissions earned on the refund amount will be deducted from the Affiliate’s balance.
Affiliates are permitted to use the Outfy brand and marketing resources. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.
The Affiliate will never imply that they are acting on behalf of Outfy and will never advertise Outfy products directly. The Affiliate will never bid for advertisements that compete with Outfy.
The Affiliate will never represent themselves, Outfy or their relationship with Outfy in a false or misleading way.
The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing Outfy.
Outfy will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).
We do not make any expressed or implied warranties with respect to the Program and/or the memberships or products sold by Outfy. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.
Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons:
- Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
- Spamming (mass email, mass newsgroup posting, etc.).
- Advertising on sites containing or promoting illegal activities.
- Failure to disclose the affiliate relationship for any promotion that qualifies as an endorsement under existing Federal Trade Commission guidelines and regulations, or any applicable state laws.
- Violation of intellectual property rights.
- Self referrals, fraudulent transactions, suspected Affiliate fraud.
In addition to the foregoing, Outfy reserves the right to terminate any Affiliate account at any time, for any violations of this Agreement or no reason.
Either party has the right to terminate the agreement immediately without prior notice.
If the Affiliate terminates the agreement, no further commissions from Outfy will be paid for any past or future customer transactions.
If Outfy chooses to terminate the agreement, any balance greater than $50 USD will be paid to the affiliate within 60 days of termination. Balances that are smaller than $50 will be forfeited.
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Connecticut, without regard to its conflict of laws rules.
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of Connecticut. An award of arbitration may be confirmed in a court of competent jurisdiction.
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Affiliate Program rules.
